Contract Terms
Terms of contract 1. General Information: Name of the exhibition:10th Beijing International Construction Machinery Exhibition & Seminar(10th BICES) Venue: Beijing Jiuhua International Exhibition Center Dates:Nov 3-6, 2009 Opening time:9:00~16:00(9:00-15:00 on Nov 6)。 BICES Office:China Construction Machinery Co.,Ltd. Booth Building Standard, Activities during Exhibition, Advertising and Charges 1) Booth types and charges Indoor standard booth: a) Standard Booth: 3m x 4m =12sq.m. (for area exceeding 12sq.m, the increased area should be the multiple of 12sq.m) b) The standard booth is furnished with three-sided wall panels, 3 illuminating lights, 2 folding chairs, 1 table, 220 V/5A socket, fascia board with company name and a 12sq.m floor carpet; Booth more than 12sq.m is furnished proportionally in accordance with the above decoration standard of standard booth. c) Charges (min 12sq.m) Indoor standard booth Charge 12-36sq.m 37-72sq.m >72sq.m Indoor raw space:(min 36sq.m) Indoor raw space Charge 36-80sq.m 81-150sq.m 151-300sq.m >300sq.m Outdoor raw space:(min 100sq.m,50% extra charge for each above floor of the multi-decked booth.) Outdoor raw space Charge 100-300sq.m 301-600sq.m >600sq.m 2) Activities during 10th BICES Technical Seminar: The exhibitor shall file an application to the Organizer. After confirmation, the exhibitors is able to introduce its technology and application to professionals and end-users. Charge: 3000yuan for duration of 2 hours. Please note the price is available for registered exhibitors only. Facilities: a 50-seat conference room with audio equipment and water dispenser. Design & Exterior Quality of Construction Machinery Competition All exhibitors are open to apply directly to the Organizer. The Organizer will invite experts to make assessment and present the awards. For detailed information, please refer to relevant part of the Exhibitors Manuel. 3)Advertising To better promote the friendly atmosphere for interaction and trade activities, the organizer will compile the Catalogue, floating balloon, aeroboat, air-filled arch, special of different publications and other advertisement, relevant application forms will be sent to the exhibitors separately. Detailed information will be available in the Exhibitors Manuel 3. Application for Registration, Confirmation of Registration & Allocation of Exhibition Space 1) All applications for registration shall be made on the prescribed contract form provided by the Organizer. Exhibitors are requested to fill in details of all items including the exhibits category (attachment), and the application shall deem to be effective before returning to BICES office before Mar 16, 2009. 2) The Organizer reserves the right to accept the application wholly or partially or to refuse any application depending upon the actual situation (whether the exhibition hall has the vacant space, whether the exhibits are in conformity with the Organizer request and whether the exhibitor abides by the terms of the contract and the related stipulations). The Organizer has the right to allocate the exhibition space for the exhibitors in accordance with the specific regulations of the exhibition. 3) Upon receipt of the application for registration, BICES office will issue a 30% down payment notification to the applicant. The applicant shall effect the payment to the designated account of the organizer in accordance with the requirements stipulated in the notification. Only once confirmed the receipt of the down payment shall the application deem to be effective. Should the application not be approved by the organizer, the down payment would be returned and the contract would be annulled accordingly. Should the applicant file a cancellation out of his own will, the contract would be annulled while the down payment would be returned. 4)Once the contract goes into effect, organizer will allocate the space in accordance with relevant stipulations and send confirmation of registration to the applicant and Exhibitors Manuel. The applicant shall fill in relevant forms as per the stipulations in the Exhibitors Manuel and return to BICES office before the stipulated time. 5)The Organizer reserves the right to re-allocate the exhibition space, to change the passage, the entrance and exit location if the exceptional circumstances demand as follows: to keep exhibition's overall lay-out and integrity, to follow the instruction of the government department and the orders of the respective administrations. Before changes, the Organizer should notify the said exhibitor at an earliest date. The cost due to the reduction of the exhibition space arising from the above will be returned to the exhibitors. 4. Payment 1) All exhibitors are kindly requested to strictly follow the payment timeline. A full exhibition qualification shall be obtained only if full payment is made. In the meantime, confirmation of registration, space reservation, entry into Catalogue, license for construction and personnel badge will be offered as well. 2) Notification on payment from organizer, designated service providers or venue authority regarding the applied advertisement, water supply, electric power, furniture and etc will be sent out. Exhibitor Rights 1) Definition of formal exhibitor: exhibitor, which is approved by organizer, can meet relevant regulations and has effected the full payment will be considered as formal exhibitor. a) Consulting & planning service from organizer; b) Exhibitors Manuel offered. Detailed information regarding booth building, removing, exhibits move-in, Catalogue entry, on-line exhibition, water supply, electrical power, special booth building, furniture, appliances, advertisement, audio equipment, visitor invitation and etc is available in the Exhibitors Manuel. c) A two-year on-line exhibition. The information on both exhibitors and visitors will be available on line. d) Brief introduction will be available in the Catalogue. e) Assistance in inviting visitors. Visitor badge and business invitation will be offered once visitor list from exhibitors is provided to the organizer. f) Exhibitors badges will offered in proportion with the area. Detailed information is available in Exhibitors Manuel. g) Cleaning, security and fire fighting service available in public area of the venue. h) Daily Express and Exhibition News will be offered during exhibition. i) Sum-up report will be offered. 2) The formal exhibitor has the right to sign service contract with the official booth builder and transportation forwarder designed by the Organizer and has the right to apply for water supply, power supply, furniture rental, advertising and other services. 3) Advertising-exhibitors are able to apply for advertising service. It is Exhibitors, not organizer, who shall take responsibility for advertisements in the catalogue, internet and visitors information. 4) During the exhibition (construction, exhibition and withdrawal), the exhibitor reserves the right to make comments and to demand improvement of all services offered by the Organizer, the exhibition hall, booth builder and transportation forwarder authorized by the Organizer. 6. Regulations on sales Exhibits shall not be handed over to the buyers until the exhibition is over. Sales of commodities irrelevant to the exhibition are strictly prohibited. 7. Intellectual Property 1) During exhibition, exhibitors shall abide by the regulations stipulated in Law on Protection of Exhibition Intellectual Property 2) Claim office against Infringement on Intellectual Property will be established to offer assistance to the exhibitors. 3) The Organizer requests that during the exhibition all the items on display from the exhibitors including exhibits, panels, leaflets and trademarks shall not infringe the rights of the owner of the intellectual property. Once any violations are found, the exhibitors will be demanded to forsake cribbing, fake, counterfeit and pirate in order to create a fair, relaxed and harmonious trade environment. 4) Once any claim or investigation are proved positive by the court or the intellectual property authoritative department and the subsequent decision becomes effective, the Organizer has the right to request the exhibitor to remove the relevant exhibit or leaflets in coordination with the intellectual property authoritative department and put in a board introducing the infringement. In case the decision proves unfair to the exhibitor by the intellectual property authoritative department, the Organizer will not hold any responsibility subsequently. 8. Cancellation of Contract 1) If there is any difference in location, type, dimension or area from previous confirmation, which the exhibitor can’t accept, exhibitor has the right to cancel the contract and refund the down payment within a week upon receipt of the writing notification from the organizer. Thus, the right the exhibitor enjoys will be terminated. Once the one week deadline has passed, organizer will consider that exhibitor accepts the change. 2) When the circumstance of business bankruptcy, property liquidation and assets mortgage occur to an exhibitor, the Organizer reserves the right to rescind the said contract, to cancel the originally allocated exhibition space. 3) The exhibitor must submit written notice to the Organizer if they wish to cancel or to reduce the confirmed exhibition space. A certain amount of fee, according to the date of submission will be charged to the exhibitors for the cancellation or reduced area. The organizer then has the right to re-allocate the cancelled space and terminate contract. If the written notice is submitted 4 months (i.e. July 2, 2009) before the opening date, 10% of the exhibition fee payable by the exhibitor has to be paid. If the submission is made one month (i.e. October 2, 2009) before the opening date and it is still within 4 months before the exhibition, 25% of the exhibition space fee payable by the exhibitor has to be paid. If the submission is made within one month before the opening date, the exhibitor has to pay the participation fee in full amount. 4) If the exhibitor fails to pay the space fee in full amount before the stipulated date (August 5, 2009) and the new deadline set by the Organizer or fails to observe the terms of the contract, the Organizer reserves the right to rescind the contract, to reallocated the exhibition space, to refund in part or not to refund any payment made by the exhibitor depending upon the circumstance occurred and to request compensation to the exhibition for the loss. 9. Booth Building and Removing 1). Booth building a) Booth building period for outdoor space: 8:00-17:00 Oct28-Nov 2, 2009 b) Booth building period for indoor space: 8:00-17:00 Oct30-Nov 2,, 2009 c) Booth building must be completed by 17:00 Nov 2, 2009 d) The exhibitor is responsible for design and decoration of its respective booth at their own cost except the basic fittings of indoor standard or non- standard furnished booths. The exhibitor who rented the indoor and outdoor raw spaces must submit the plan, proposal and drawing of the booth that they are going to be built up to the Organizer in order to get their approval in advance, and these plans, proposals and drawings must comply with the related regulations as stipulated in the "Exhibitor’s Manual" sent to the exhibitor by the Organizer. The Organizer reserves the right to get rid of or to adjust these construction plan and proposal in case they fails to follow the related regulations as stipulated in the attachment of the contract and the Exhibitor’s Manuel, the Organizer’s office has the right to ask the exhibitor to adjust the plan. The cost arising from such shall be borne by the exhibitor. e) Any report on the defects of the standard booth shall be filed immediately to the organizer in writing after entry to the venue, not later than one day before the opening date of the exhibition. Any late report will not be handled and be used for claims against the organizer. 2) Removing a) All the exhibits, rackets and other exhibition items shall not be removed out of the venue before the exhibition is over. b) Booth removing period: 15:00-24:00 Nov 6, 2009 8:00-17:00 Nov 7, 2009 c) All exhibits and decoration equipment must be removed from the exhibition center before 17:00 Nov 7, 2009. Charges for late removal of the items will be requested according to the area, time and others. d) All the vehicles carrying the exhibits and the items for exhibition shall leave the venue before 18:00 Nov 2, 2009. Vehicles which remain in the indoor or outdoor area will be expelled. The relevant risk and fee incurred shall be borne by the exhibitors. 11. Insurance Liability 1) The Organizer shall be held responsible for the direct losses as a result of the duties and basic services offered that breach the contract. 2) During the period of stand build-up, exhibition and withdrawal, the exhibitor shall carry out protective measures for its exhibits, valuables, equipment and personnel. The exhibitor shall be held responsible for any loss suffered by its insufficient protective measures. 3) All exhibitors shall insure and hold harmless of its exhibits, property, working staff, representatives, equipment free from theft and fire hazards, and through insurance to protect loss caused by other force majeure events. Those uninsured exhibitors shall take the responsibility themselves. 4) The Organizer will not be held responsible for the above loss or infringement. On account of Force Majeure, the organizer has the right to evacuate a certain area on temporary basis or for the rest of the exhibition or even postpone, shorten, extend and cancel the exhibition and will not take the responsibilities. 12. Arbitration This Contract applies to the legal jurisdiction of the People's Republic of China. If any disputes arise between two parties in the interpretation and implement of this contract, both parties agree to submit to the China International Economic & Trade Arbitration Committee for arbitration. Decisions of the arbitration are final and binding upon both Parties. 13. Additional reminding The contract shall not be considered as the fixed format. The exhibitor has the right to put forward amendments in written form to the Organizer office. The signing of the contract can be performed after agreement is reached by both parties.
